Terms and Conditions

  1. Definitions

    1. “Childcare Services” means the service provided by the Babysitter on the terms agreed between the Employer and the Babysitter;
    2. “Childcare Fee” means the relevant fee to be paid by the Employer to the Babysitter in cash or by cheque on conclusion of the Childcare Services as set out on the Website and in Schedule 1 of these Terms and Conditions;
    3. “Employer” means an individual or individuals to whom the Babysitter is introduced by Hello Mums and for whom the Childcare Services are provided;
    4. “Introduction” means the introduction of the Babysitter to the Employer by Hello Mums;
    5. “Hello Mums” means Rona Trading Limited, a company registered in England and Wales with company number 7592610;
    6. “Babysitter” means the person introduced by Hello Mums to the Employer for the provision of Childcare Services;
    7. “Notice” means a written notice in the form to be decided by Hello Mums and which is deemed received by the Employer on publication of such notice on the Website;
    8. “Sign Up Form” means the form provided by Hello Mums to Babysitters and which must be completed by the Babysitters to the satisfaction of Hello Mums;
    9. “Website” means http://www.hellomums.co.uk ;
    10. “Booking Fee” means the relevant booking fee to be paid by the Employer by debit or credit card to Hello Mums as set out on the Website and in Schedule 1 of these Terms and Conditions.
    11. “Fees” means together the Membership Fee, the Booking Fee and the Childcare Fee.
    12. “Membership Fee” means a monthly membership fee to be paid by the Employer by debit or credit card to Hello Mums as more fully described on the Website and in Schedule 1 of these Terms and Conditions;
    13. “Online Booking System” means Hello Mums online booking system;
    14. “Online Database” means Hello Mums online database.
    15. The definitions shall apply equally to both the singular and plural forms of the terms defined. Whenever the context may require, any pronoun shall be include the corresponding masculine, feminine and neuter forms.
  2. Introduction

    1. Hello Mums will only undertake business on the following Terms and Conditions which are legally binding on all contracting parties.
    2. Hello Mums acts as an introduction party only and does not employ the Babysitters.
    3. Hello Mums interviews each and every Babysitter and reviews at least two references submitted to it by the Babysitter.
    4. For the duration of a booking (minimum three consecutive hours), the Babysitters are under the supervision and direction of the Employer at all times.
    5. Hello Mums is not liable for any loss, injury, accident, claim, cost, charge, expense, action or demand whatsoever in any jurisdiction arising from or in any way connected with the Introduction and/or the provision of the Childcare Services.
    6. A Babysitter can only look after the maximum of 5 of the Employer’s own children per Booking unless agreed in advance with Hello Mums.
    7. Booking time; when a Babysitter accepts the booking she or he is requested to be paid for the number of hours the Employer booked him/her for. If, for whatever reason the booking runs past the agreed time the Employer is requested to pay for any additional time (in 30 minutes intervals). If for whatever reason the Employer returns before the end of the booking the Babysitter is still requested to be paid for the full amount for the amount of hours she/he was booked for.
    8. Hello Mums reserves a right to cancel or refuse a booking without refund if any member of the Employer's family has a contagious disease or illness.
    9. Hello Mums reserves the right to create at least two separate bookings if more than one family wishes to book a Babysitter for the same time and date.
    10. Under usual circumstances if there are more than 3 children under three years of ago or more than 5 children in total a second Babysitter is required.
    11. All Introductions and subsequent Bookings must be made via Hello Mums and all concomitant Booking Fees are consequently payable by the Employer to Hello Mums.
    12. The Employer acknowledges and undertakes that it will arrange Engagements solely through Hello Mums and pay all concomitant Fees. The Employer undertakes not to arrange Childcare Services directly with the Babysitter.
    13. Should Hello Mums have grounds to believe that the Employer and the Babysitter have arranged for the provision of Childcare Services to the exclusion of Hello Mums and/or failed to pay the relevant Fee Hello Mums reserves the right to:
    14. (A) seek payment in arrears from the Employer of any unpaid Fees;
    15. (B) terminate this agreement; and/or
    16. (C) remove the Babysitter from its database.
  3. Payment Terms

    1. Payment to Hello Mums
    2. Monthly Membership Fee
    3. (1) If an Employer chooses to become a Member then they agree to pay the Membership Fee by debit or credit card for a minimum of one calendar month, which will thereafter continue as a rolling contract until the Employer cancels the membership.
    4. (2) The Membership Fee will be charged to your nominated debit or credit card in advance once a month starting from the first day of membership.
    5. (3) The Membership Fee will be processed through Stripe online payment processing monthly.
    6. (4) The Membership Fee may be cancelled at any time and the cancellation will take effect from the day before the next payment would have been due.
    7. (B) Booking Fee
    8. (1) The Employer agrees to pay the relevant Booking Fee to Hello Mums.
    9. (2) The applicable Booking Fees will be charged to your nominated debit or credit card every time a booking is made.
    10. (3) The Booking Fee will be processed through Stripe online payment processing.
    11. (4) The Booking fee is only refundable if Hello Mums is unable to provide the Employer with a Babysitter for a booking.
    12. (C) Annual Membership fee
    13. (1) The Employer agrees to pay the Membership Fee by debit or credit card for a minimum of one calendar year, which will thereafter continue as a rolling contract until the Employer cancels the membership.
    14. (2) The Membership Fee will be charged to your nominated debit or credit card in advance once a year starting from the first day of membership.
    15. (3) The Membership Fee will be processed through Stripe online payment processing monthly.
    16. (4) The Membership Fee may be cancelled at any time and the cancellation will take effect from the day before the next payment would have been due.
    17. Payment to Babysitter
    18. (A) The Childcare Fee shall be agreed between the Employer and Hello Mums prior to the provision of Childcare Services pursuant to the payments terms in Schedule 1.
    19. (B) The Employer agrees to pay the relevant Childcare Fee directly to the Babysitter on conclusion of the Childcare Services in cash.
    20. (C) If requested by the Employer and upon payment of the Childcare Fee, the Babysitter will issue the Employer a receipt of payment which is to be countersigned by the Employer.
    21. (D) If the Employer cancels the booking within an hour of the start time then a £20 cancellation fee will be charged to the nominated debit/credit card.
    22. (E) Should the booking run past midnight the Employer needs to provide a transportation home for the Babysitter (or contribute to the maximum of £15 towards the taxi ride home)
    23. Refunds, replacements, cancellations
    24. (A) In the event that the Babysitter cancels a reserved Booking, Hello Mums undertakes to use reasonable efforts to find a replacement Babysitter as soon as reasonably practicable.
    25. (B) If Hello Mums is unable to find a suitable replacement it will refund the Booking Fee.
    26. (C) If for any reason the Employer decides to cancel a Booking the Booking Fee will not be refunded.
    27. (D) The Membership Fee may be cancelled at any time and the cancellation will take effect from the day before the next payment would have been due.
    28. Alteration of Payment Terms
    29. (A) Hello Mums reserves the right to increase the Fees and to alter the terms on which the Fees are paid at its sole discretion.
    30. (B) Hello Mums will gives one month notice of any increase of the Fees.
  4. Confidentiality

    1. Each party undertakes to the other to treat as confidential all information in any medium or format (whether marked “confidential” or not) which that party (the “Recipient”) receives from the other (the “Disclosing Party”) (“Confidential Information”).
    2. The Recipient may disclose Confidential Information of the Disclosing Party where required to do so by law or by any competent regulatory authority. In these circumstances the Recipient shall give the Disclosing Party prompt advance written notice of the disclosure (where lawful and reasonably practical to do so) so that the Disclosing Party has sufficient opportunity (where reasonably possible) to prevent or control the manner of disclosure by appropriate legal means.
    3. Hello Mums may disclose the Employer’s personal information to third parties (including but not limited to):
    4. (A) in the event that Hello Mums sells or buys any business or assets, in which case Hello Mums may disclose the Employer’s personal data to the prospective seller or buyer of such business or assets;
    5. (B) if Hello Mums or substantially all of its assets are acquired by a third party, in which case personal data held by it about its Employers will be one of the transferred assets; and
    6. (C) If Hello Mums is under a duty to disclose or share Hello Mums personal data in order to comply with any legal obligation, or in order to enforce or apply these Terms and Conditions and other agreements; or to protect the rights, property, or safety of Hello Mums, their Babysitters, its Employers or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.
  5. Liability

    1. The Employer acknowledges that the decision to employ a Babysitter is the sole responsibility of the Employer and Hello Mums gives no warranty, representation or undertaking as to the history, character, age, experience, capability, suitability, honesty or immigration status of any Babysitter nor as to the completeness, truthfulness or accuracy of any information or statement or reference provided by the Babysitter.
    2. The Employer acknowledges the risks inherent in participating in a childcare introduction service and hereby waives all rights to any claim for damages from, and relieve, release, and forever discharge from any claim for damages, any and all of Hello Mums and any person involved in creating, producing or distributing the Hello Mums service or information pertaining to the Hello Mums service.
    3. Hello Mums does not accept any liability whatsoever for the misrepresentation, loss, damage, injury, death delay, claims or expense of any description arising out of an Introduction made by Hello Mums.
    4. To the extent permitted by law, Hello Mums will not be liable for any direct, indirect or consequential loss or damage whatsoever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website or the services provided by Hello Mums.
    5. The Employer agrees to indemnify and hold Hello Mums harmless from and against any breach by you of these Terms and Conditions and any claim or demand brought against Hello Mums by any third party arising out of the Employer’s use of the Website and the services provided by Hello Mums, including without limitation all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by Hello Mums in consequence of the Employer’s breach of these Terms and Conditions.
    6. In no circumstances shall Hello Mums’ total liability to the Employer, whether in respect of goods or services and whether based in negligence, breach of contract, misrepresentation or otherwise, exceed the Fees paid by the Employer.
    7. The Employer should ensure that they have adequate Employer’s Liability.
  6. Termination

    1. Hello Mums can terminate this agreement at any time, without notice, for any reason, including, without limitation, breach of these terms and conditions. Hello Mums may also at any time discontinue the Website or any part thereof and the provision of its services without prior notice and shall not be liable to the Employer or any third party for any losses arising from such termination.
  7. Entire Agreement

    1. The Parties confirm that these Terms and Conditions represent the entire understanding and constitute the whole agreement of the parties in relation to its subject matter and supersedes any previous agreement between the parties with respect to such subject matter.
  8. Governing Law

    1. These Terms and Conditions will be governed by and construed in accordance with English law.
    2. Each party irrevocably agrees that the Courts of England will have exclusive jurisdiction in relation to any claim, dispute or difference concerning these Terms and Conditions and any matter arising from them.
  9. Right of Withdrawal

    1. You are informed that under the United Kingdom Consumer Protection (Distance Selling) Regulations 2000 you have a period of seven working days starting from the time of your purchase on the Website to obtain a full refund of your purchase. However, this right is lost should you access and or use the element of the service you purchased.
  10. Indemnity

    1. By using the Hello Mums website you agree to indemnify Hello Mums, our directors, employees, agents, subcontractors, and affiliated companies against any and all third party claims and liabilities related to your breach of these Terms and Conditions.
  11. General

    1. You, the Employer and User, are responsible for your password and any information provided by you to the Website. Any and all uses of your registration with the Hello Mums Website are your sole responsibility. Should there be any unlawful or unauthorised use of your password or registration You agree to notify Hello Mums immediately.
    2. Any failure by us to exercise or enforce any right or provision of these Terms and Conditions does not constitute a waiver of it.
    3. Hello Mums reserves the right to modify and revise these Terms and Conditions at any time without prior notice. Each time You use Hello Mums you should review these Terms and Conditions as by using Hello Mums You are bound by them.
  12. Data Protection

    1. By registering with Hello Mums you agree to provide certain personal information. Hello Mums’ usage and storage of this information is explained in the Privacy Policy.
  13. Feedback Requests / Reviews

    1. Hello Mums encourages feedback and suggestions on the services we provide so that we can continually improve the services for the Employer. When a feedback is submitted, Hello Mums has full rights to use the feedback and suggestions without any encumbrances. By submitting a feedback or suggestion to Hello Mums concerning the services we provide, you warrant and represent that you own or otherwise control the rights necessary to do so and you are granting Hello Mums permission to: use, modify, copy, distribute, transmit, publicly display, publicly perform, reproduce, publish, sublicense, create derivative works from, transfer, or sell any such feedback or suggestions; and sublicense to third parties the unrestricted right to exercise any of the foregoing rights granted with respect to the feedback or suggestions. These grants include the right to exploit any proprietary rights in such feedback or suggestions, including rights under copyright, trademark, service mark or patent laws in any relevant jurisdiction. No compensation will be paid with respect to use by Hell Mums of the materials contained within such feedback or suggestions. Hello Mums is under no obligation to post or use any materials you may provide and may remove such materials at any time at our sole discretion.
  14. Voucher Codes

    1. (1) Offer excludes bookings for Bank Holidays, Christmas Eve, New Year’s Eve and Valentine.
    2. (2) One voucher per household
    3. (3) Vouchers must be used by the specified expiry date and become void after this date if not used.
    4. (4) Offer cannot be used in conjunction with any other Hello Mums’ offers.
    5. (5)If the value of the Booking is greater than the value of the redeemed Voucher, the remaining amount is payable by the Employer using the above stated payment method.
    6. (6) Vouchers have no cash value and cannot be exchanged for cash.
    7. (7) All standard Terms and Conditions apply when making a booking using a Voucher.
    8. (8) Vouchers must be used online via the Hello Mums website.
    9. (9) Hello Mums reserves the right to amend these terms and conditions for vouchers at any time without prior notice.

  3. Registration Form

    1. These terms and conditions shall apply to the agreement for services and shall supersede any other documentation or communication between parties.
    2. When the Application Form has been submitted to the Hello Mums Website, this does not create a contract between Hello Mums and the Babysitter.
    3. Nothing in these Conditions shall prejudice any condition or warranty, express or implied, or any legal remedy to which Hello Mums may be entitled, by virtue of any statute, law or regulation.
    4. Nothing in these Conditions shall be construed as constituting a partnership or joint venture between the parties.
    5. These terms and conditions are available on the Website.
  4. Appointment

    1. Hello Mums will act as the Babysitter’s introductory party and will endeavour to negotiate and conclude agreements with Employers in respect of procuring job offers.
    2. This Agreement does not give rise to a contract of employment between Hello Mums and the Babysitter.
    3. Hello Mums will not charge a fee to the Babysitter for facilitating Bookings.
  5. Babysitter Obligations

    1. The Babysitter should not engage in any conduct which is detrimental to the interests of Hello Mums, would negatively affect Hello Mums’ relationship with the Employer or is likely to bring Hello Mums into disrepute.
    2. The Babysitter shall, before the commencement of the Childcare Services, have provided Hello Mums with satisfactory evidence of their identity, which shall include, but not be limited to, a certified copy of the Babysitter’s passport and one proof of address.
    3. The Babysitter confirms that they are legally allowed to work in the United Kingdom and shall show Hello Mums documentary evidence as proof thereto.
    4. The Babysitter shall provide Hello Mums with the names of two references who the Babysitter agrees that Hello Mums may approach at any time for the purpose of obtaining references about the Babysitter.
    5. (A) The Babysitter will agree to provide Childcare Services to Hello Mums at pursuant to the payments terms in Schedule 1 of these terms and conditions.
    6. The Babysitter will accept the Childcare Fee in cash or cheque from the Employer at the end of each booking.
    7. Any change to the information contained within the Application Form will require the Babysitter to resubmit the amended Application Form that will also be subject to acceptance pursuant to Condition 3.2.
    8. If, in respect of any prospective Bookings, the Babysitter is required by law, any professional body or by the Employer to hold or have any experience, training qualifications and/or authorisations, the Babysitter shall provide Hello Mums with current and valid copies of such qualifications and/or authorisations.
    9. The Babysitter consents to the disclosure of all relevant information (which is required to progress any application or which is requested by the Employer) including but not limited to copies of qualifications, authorisations and/or references, by Hello Mums to the Employer.
    10. The Babysitter shall immediately inform Hello Mums should there be any reason or circumstance under which it would be detrimental to the interests of Hello Mums, the Employer or the Babysitter for the Babysitter to take up a particular position with a Employer or to continue its engagement with Hello Mums.
    11. The Babysitter shall inform Hello Mums of any interviews arranged between the Employer and the Babysitter, or any informal or formal offers of employment made by the Employer to the Babysitter.
    12. In the event that the Babysitter is unable to honour a Booking that has been agreed with a Employer the Babysitter shall notify Hello Mums as soon as practicable.
    13. The Babysitter shall notify Hello Mums immediately if there is any reason why they are unable to continue with a Booking with the Employer.
    14. The Babysitter is free to undertake any other engagement or employment whilst registered with Hello Mums.
    15. The Babysitter is not obligated to accept any Childcare Services or Introduction offered to him/her by Hello Mums.
    16. The Babysitter should ensure that they have their own public liability cover.
    17. The Babysitter must confirm the booking with the Employer on the day they are booked to baby-sit.
    18. The Babysitter must listen out for the child (children) and ensure they are in a position to hear any sounds from them.
    19. The Babysitter must check the children regularly - particularly young babies.
    20. The Babysitter must prepare feeds, change nappies, etc if requested by the Employer.
    21. Babysitter must understand that He/She may not offer or accept to provide Babysitting or any childcare services to an Employer introduced through Hello Mums without Hello Mums agreement. Both the Employer and the Babysitter will be liable in damages to Hello Mums to compensate Hello Mums in respect of all past, present and future losses which Hello Mums has or might suffer by reason of any breach of the undertaking above up to a maximum of £5000. In addition the Babysitter will be struck off the Hello Mums Register and no further bookings will be arranged for him/her. The Employer will also forfeit 3 months' membership and their membership will be cancelled.
    22. Hello Mums will suspend offering bookings to the Babysitter if Babysitter cancels already accepted bookings on more than three occurrences in the course of any six months period.
    23. Hello Mums reserves the right to terminate this agreement at any time without notice or reason.
  6. Babysitters May Not:

    1. Make any booking directly with an Employer.
    2. Fail to keep an arranged booking.
    3. Be accompanied by any unauthorised person at anytime during the booking.
    4. Administer any medication to a child without the written instructions of the parents.
    5. Smack, slap or in any way strike a child in their care at any time.
    6. Leave the Employer's home unattended at any time.
    7. Go in rooms in the Employer's home where there is no need.
    8. Use any of the Employer's electrical equipment unless they have been given permission to do so.
    9. Use the Employer's phone to make calls unless for the well being of the child.
    10. Smoke, consume alcohol, or use any illegal substances while babysitting.
  7. Hello Mums’ Obligations

    1. Hello Mums shall endeavour to secure suitable job offers for the Babysitter but shall be under no obligation to find an job offers for the Babysitter at any time.
    2. An offer is not made to the Babysitter until details are received by Hello Mums from the Employer. Hello Mums does not accept any responsibility and shall not be liable for any loss suffered by the Babysitter by reason of the Babysitter’s decision to resign from his/her current employment or any existing engagement before or after receipt of the Hello Mums or Employer’s offer.
  8. Limitation Of Liability

    1. Nothing in these Conditions shall exclude or limit the liability of the Babysitter for death or personal injury.
    2. All parties agree that Hello Mums shall not be liable to the Babysitter or to any other third party, including, but not limited to the Babysitter’s family or their successors, heirs and assigns, or any other person, for incidental or consequential losses, damages or expenses, directly or indirectly arising from any action or failure to act. It is agreed that there is no representation, warranty, collateral agreement or condition affecting this agreement except as expressed in it.
    3. The Babysitter acknowledges that the decision to accept an offer is the sole responsibility of the Babysitter and Hello Mums gives no warranty, representation or undertaking as to the history, character, suitability, honesty of any Employer nor as to the completeness, truthfulness or accuracy of any information provided by the Employer. Hello Mums gives no warranty, representation or undertaking as to the character, suitability or honesty of the Employer.
    4. The Babysitter acknowledges the risks inherent in participating in a childcare introduction service and hereby waives all rights to any claim for damages from, and relieve, release, and forever discharge from any claim for damages, any and all of Hello Mums and any person involved in creating, producing or distributing the Hello Mums service or information pertaining to the Hello Mums service.
    5. Hello Mums does not accept any liability whatsoever for the misrepresentation, loss, damage, injury, delay, claims or expense of any description arising out of an Introduction made by Hello Mums.
    6. To the extent permitted by law, Hello Mums will not be liable for any indirect or consequential loss or damage whatsoever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website or the services provided by Hello Mums.
    7. The Babysitter agrees to indemnify and hold Hello Mums harmless from and against any breach by you of these terms and conditions and any claim or demand brought against Hello Mums by any third party arising out of the Babysitter’s use of the Website and the Childcare Services provided by Hello Mums, including without limitation all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by Hello Mums in consequence of the Babysitter’s breach of these terms and conditions.
    8. While Babysitter is employed by an Employer from an introduction made by Hello Mums and while travelling to or from an Employer, Babysitter undertakes to keep Hello Mums and all persons who may be employed by it or associated with it in any way whatsoever, whether by contract or otherwise, fully and effectively indemnified against all costs, claims, damages, expenses or liabilities whatsoever arising from my act, default or negligence.
  9. Privacy Policy

    1. Please read the following carefully to understand Hello Mums’ practices regarding personal data and its treatment.
    2. Hello Mums is committed to protecting and respecting the Babysitter’s and the Employer’s privacy.
    3. These terms and conditions set out the basis on which any personal data collected from the Babysitter, or that the Babysitter provides to Hello Mums, will be processed by Hello Mums.
    4. Hello Mums may collect and process data (which includes personal data) about the Babysitter including but not limited to:
    5. (A) information that the Babysitter provides by filling in the Application forms;
    6. (B) If the Babysitter contacts Hello Mums, Hello Mums may keep a record of that correspondence or notes of any telephone conversations; and
    7. (C) Hello Mums may also ask the Babysitter to complete surveys that Hello Mums uses for research purposes;
    8. The data that Hello Mums collects from the Babysitter may be transferred to, and stored at, a destination outside the European Economic Area (“EEA”). It may also be processed by staff operating outside the EEA who work for Hello Mums or for one of Hello Mums’ suppliers. Such staff maybe engaged in, among other things, the fulfillment of the Babysitter’s Agreement and the provision of support services. By submitting the Babysitter’s personal data, the Babysitter agrees to this transfer, storing or processing.
    9. The transmission of information via the Internet is not completely secure. Hello Mums will use reasonable endeavours to protect the Babysitter’s personal data, but do not guarantee the security of data transmitted to the Website. Any transmission of such data is at the Babysitter’s own risk. Once Hello Mums has received the Babysitter’s information, they will use strict procedures and security features to attempt to prevent unauthorised access.
    10. Hello Mums uses information held about the Babysitter in the following ways (including but not limited to):
    11. (A) ensure that content from the Website is presented in the most effective manner; and
    12. (B) provide the Babysitter with information, products or services that the Babysitter requests from Hello Mums or which Hello Mums feels may interest the Babysitter, where the Babysitter has consented to be contacted.
    13. Hello Mums may disclose the Babysitter’s personal information to third parties (including but not limited to):
    14. (A) in the event that Hello Mums sells or buys any business or assets, in which case Hello Mums may disclose the Babysitter’s personal data to the prospective seller or buyer of such business or assets;
    15. (B) if Hello Mums or substantially all of its assets are acquired by a third party, in which case personal data held by it about its Babysitters will be one of the transferred assets;
    16. (C) if Hello Mums is under a duty to disclose or share Hello Mums personal data in order to comply with any legal obligation, or in order to enforce or apply these terms and conditions and other agreements; or to protect the rights, property, or safety of Hello Mums, their Babysitters, or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.
    17. Hello Mums will provide the Employer with information about the Babysitter including but not limited to the name, sex, age, relevant experience and contact telephone number of the Babysitter and any other information relevant to the provision of Childcare Services which may be undertaken or which has been undertaken.
    18. The Website may, from time to time, contain links to and from the Websites of Hello Mums’ partner networks, advertisers and affiliates. If the Babysitter follows a link to any of these websites, the Babysitter should note that these websites have their own privacy policies and that Hello Mums does not accept any responsibility or liability for these policies. The Babysitter should check these policies before submitting any personal data to these websites.
    19. Any changes Hello Mums may make to the privacy policy in the future will be posted on the Website.
  10. Indemnity

    1. The Babysitter undertakes to indemnify and keep fully indemnified Hello Mums at all times from and against any actions, proceedings, claims, demands, costs (to include without prejudicing the generality of this clause, the legal costs of Hello Mums), awards or damages howsoever arising directly or indirectly as a result of any breach or non-performance by the Babysitter of any of the Babysitter’s obligations, undertakings or warranties as set out within these Conditions.
  11. Assignment

    1. This Agreement is personal to the Babysitter and the Babysitter shall not be entitled to assign their rights or obligations or delegate its duties under this Agreement without the prior written consent of Hello Mums.
  12. Third Party Rights

    1. Nothing in these terms and conditions intends to or confers any rights on a third party.
  13. Severance

    1. If any term or provision of these terms and conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these terms and conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.
  14. Waiver

    1. The failure by either party to enforce at any time or for any period any one or more of these terms and conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all terms and conditions.
  15. Termination Of The Relationship

    1. The relationship between the Babysitter and Hello Mums may be terminated by the Babysitter upon written notice to Hello Mums (by email) (“Cancellation Notice”).
    2. The Cancellation Notice is deemed received and applicable only when Hello Mums acknowledges receipt of the Cancellation Notice.
    3. Hello Mums may acknowledge receipt of the Cancellation Notice by email.
    4. Until such time as Hello Mums acknowledges receipt of the Cancellation Notice, the Babysitter’s details will continue to be held on Hello Mums database.
    5. The relationship between the Babysitter and Hello Mums may be terminated by Hello Mums at any time without notice or reason.
  16. Entire Agreement

    1. These terms and conditions supersede any previous agreements, arrangements, documents or other undertakings either written or oral.
  17. Governing Law

    1. These terms and conditions shall be governed by and construed in accordance with the law of England and Wales and the parties hereby submit to the exclusive jurisdiction of the English courts.
  18. Execution

    1. SCHEDULE 1
    2. Payment to The Babysitters (to be paid to the Babysitter in cash or by cheque)
    3. • From £8.00 per hour
  19. Declaration - Babysitter Declares That

    1. Babysitter has never been convicted of any criminal offence at any time.
    2. Babysitter has not been refused registration for nursery day care, childminding or any other childcare.
    3. Babysitter has not been convicted of, investigated in relation to or committed any offences related to children.
    4. No children have ever been removed from his/her care or prevented from living with him/her.
    5. Babysitter has never been associated with any childcare facilities which has been in breach of childcare regulations.
    6. Babysitter is aware of the Disqualification for Carers and Children Regulations 1991 and none of the circumstances set out in the regulations apply to the Babysitter;
    7. Babysitter is in good health and does not suffer from any medical condition that could affect the safety of the children in the Babysitter’s care.
  20. Terms Of Use For Babysitters

    1. As a Babysitter of the Hello Mums website you agree not to engage in activities that could be construed as indecent, offensive or otherwise illegal nature. Any such activities may result in prosecution by the England and Wales authorities under the relevant Criminal Acts including but not limited to the Computer Misuse Act 1990, the Protection of Children Act 1978, the Criminal Justice Act 1988 and the Prevention of Harassment Act 1997. Babysitter are advised that Hello Mums cooperates fully with all law enforcements agencies in the England and Wales and other regions as well.
    2. Under the Electronic Commerce (EC Directive) Regulations 2002, Hello Mums is in general not liable for any criminal or pecuniary penalty for any unlawful acts carried out using our service unless we have actual knowledge of those unlawful acts.
